The good name the Company and its Trademarks have enjoyed over the years is as important as ever
today. Our business has become more complex and we face growing public expectations in many areas
including business ethics. It is a time when our success in fulfilling the public's trust depends more than
anything upon the integrity of each employee, brand representative, licensee, distributor and manufacturer.
The Company's reputation and the value of the Trademarks depend in part upon the actions and deeds of
our Business Associates. Each Business Associate must follow this Code in order to preserve the
reputation and goodwill of our Trademarks and the Company. The Company's proud tradition of
managing its business in a fair and ethical manner in the global community depends on each Business
Associate doing his/her part.
The Company strives to apply high ethical, moral and legal principles in every aspect of business conduct
and expects Business Associates to support these goals..
The Company complies with all laws applicable to it in the jurisdictions where it does business and
requires its Business Associates to comply with all laws applicable to them in the jurisdictions where they
do business. If a law conflicts with the Code, follow the law. If a local custom or policy conflicts with the
Code, follow the Code. If in doubt about how to deal with conflicts between the Code and local laws,

Company, +1-817-336-7201 (U.S). Each Business Associate must adhere to the standards stated in this
Code and apply them in good faith and with reasonable business judgment. Any Business Associate who
does not adhere to these standards is acting outside the scope of our business relationship.
Along with legal compliance, each Business Associate should observe high standards of business and
personal ethics in all of its activities supporting its business relationship with the Company, including
hiring, workplace conditions, manufacturing, sourcing, transportation, marketing, waste disposal and
governmental or environmental requirements. This means being honest and truthful when dealing with the
public, the business community, customers, suppliers and governmental and regulatory authorities.
The Company maintains the right to inspect without notice all facilities and workrooms associated with the
production of any product being produced under the Trademarks. In the event any material violations to
the Code or any other provisions of this document are found, the Company reserves the right to hold the
facility owner liable for all costs of the inspection. Any facility denying access to an authorized Company
representative or auditor shall result in an automatic Factory Evaluation failure.
Production of product or
components thereof directly or through subcontracting in factories, facilities, workrooms or
locations not disclosed will result in automatic termination of the manufacturing relationship with
All Business Associates shall provide the Company with accurate up-to-date manufacturing facility
information (owner, location and complete contact information) where any products or their component
raw materials are sourced. All facility information is kept for the purpose of inspecting facilities,
monitoring compliance and maintaining a record of the flow of goods through national borders in an effort
to reduce counterfeits. In the event of a facility inspection the Company will endeavor to give reasonable
notice for any audit, although the Company reserves the right to make unannounced audits.
